1. About These Terms

These Terms and Conditions ("Terms") govern your use of DocuPotion, a software-as-a-service platform operated by Cranford Tech Limited, a company registered in England and Wales (company number 15069364), with registered office at 3rd Floor, 86-90 Paul Street, London, England, EC2A 4NE ("we", "us", "our").

By accessing or using DocuPotion, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our service.

2. Our Service

DocuPotion provides a cloud-based platform that enables users to:

• Design and create reusable document templates
• Store and manage templates within their account
• Generate PDF documents via our API or web application by populating templates with user-provided data
• Generate documents from records in connected third-party services (such as Attio) and attach the results to those records
• Deliver generated documents by email or to connected storage (such as Google Drive)
• Send generated documents for electronic signature and collect signatures with a tamper-evident audit trail
• Access and manage generated documents

3. Account Registration and Access

3.1 Account Creation: To use DocuPotion, you must create an account by providing accurate, complete, and current information.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Eligibility: You must be at least 18 years old and have the legal capacity to enter into these Terms. By using our service, you represent and warrant that you meet these requirements.

3.4 Business Use: If you are using DocuPotion on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Subscription and Payment

4.1 Subscription Plans: We offer various subscription plans with different features and usage limits. Details of current plans are available on our website.

4.2 Payment: Subscription fees are charged in advance on a monthly or annual basis, as selected by you. Payment is due immediately upon subscription or renewal.

4.3 Taxes: All fees are exclusive of applicable taxes, which you are responsible for paying.

4.4 No Refunds: Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.

5. API Usage and Limitations

5.1 API Access: Your subscription plan includes specified API usage limits (number of API calls, document generations, etc.).

5.2 Fair Use: You agree to use our API in accordance with fair use principles and not to abuse, overload, or attempt to disrupt our systems.

5.3 Rate Limiting: We may implement rate limiting to ensure service quality for all users. Exceeding your plan's limits may result in additional charges or temporary service restrictions.

5.4 API Keys: You are responsible for keeping your API keys secure and must not share them with unauthorized parties.

6. Acceptable Use

You agree not to:

• Use DocuPotion for any unlawful purpose or in violation of any applicable laws
• Generate or distribute content that is defamatory, obscene, abusive, or infringes upon others' rights
• Use DocuPotion's email delivery or signature requests to send unsolicited messages, or to contact recipients with whom you have no legitimate relationship
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of our service
• Remove or alter any proprietary notices on our platform
• Use automated systems to scrape or collect data from our service
• Resell or redistribute our service without our written permission
• Upload or distribute viruses, malware, or other malicious code
• Violate any third-party intellectual property rights through your use of the service

7. Electronic Signatures

7.1 The Feature: DocuPotion allows you to send generated documents for electronic signature. On your instruction, we email each signer you designate a signing request; signing takes place on a DocuPotion signing page. When all signers have signed, the completed document is sealed with a cryptographic seal and timestamp, and a tamper-evident audit trail (including signer name, email address, IP address, and event timestamps) is recorded.

7.2 Legal Effect: Signatures collected through DocuPotion are electronic signatures intended to be capable of legal effect under applicable law, including the UK eIDAS Regulation. However, we do not warrant that an electronic signature is valid, enforceable, or appropriate for any particular document, transaction, or jurisdiction. Some documents (for example, certain deeds, wills, and documents requiring witnessing or notarization) may not be suitable for electronic signature. You are solely responsible for determining whether electronic signature is legally appropriate for your documents, and for the content of the documents you send.

7.3 Your Responsibilities: You are responsible for the accuracy of the signer details you provide, for having a lawful basis to send signature requests to the recipients you designate, and for complying with applicable laws in the agreements you conclude. You must not use the e-signature feature to send unsolicited messages.

7.4 Signers: Signers do not need a DocuPotion account. By completing the signing flow, a signer consents to sign the document electronically. The signing page is provided to signers as-is; a signer's use of it is subject to these Terms as applicable and to our Privacy Policy.

7.5 Evidence, Not Advice: We provide the sealed document and audit trail as evidence records. DocuPotion is not a party to any agreement you sign or conclude through the service, and nothing in the service constitutes legal advice.

8. Third-Party Integrations

8.1 Connected Services: DocuPotion can connect to third-party services you authorize, such as Attio and Google Drive. When you connect a service, we access it only on your instruction and only as needed to provide the features you use (for example, reading a CRM record's fields to fill a document, attaching a generated document to a record, or saving a copy to your Google Drive).

8.2 Your Authority: You represent that you have the necessary rights and authority to connect any third-party service to DocuPotion (for example, administrator authority over the workspace being connected), and that your use of the connected service through DocuPotion complies with that service's own terms.

8.3 Third-Party Terms: Third-party services are governed by their own terms and privacy policies. We are not responsible for the availability, performance, or data practices of third-party services, and features that depend on a connected service will stop working if you disconnect it or if the third party restricts our access.

8.4 Subprocessors and Providers: We use trusted service providers to deliver parts of the service (for example, our e-signature infrastructure provider). These are listed in our Privacy Policy.

9. Intellectual Property

9.1 Our IP: DocuPotion, including our software, logos, design, and content, is owned by Cranford Tech Limited and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use our service in accordance with these Terms.

9.2 Your Content: You retain all rights to the content you upload, including templates and data used to generate documents. By using our service, you grant us a license to host, store, and process your content solely to provide our services.

9.3 Generated Documents: You own all documents generated using our service and your data.

9.4 Feedback: If you provide us with feedback or suggestions, we may use them without any obligation to you.

10. Data Protection and Privacy

10.1 Data Processing: We process your personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

10.2 Your Data: You are responsible for ensuring you have the right to use and process any data you upload to our service or access through a connected integration, and that such use complies with applicable data protection laws.

10.3 Processing on Your Behalf: Where you use DocuPotion to process personal data of others (for example, data in your connected CRM records, or the details of document recipients and signers), you act as the data controller and we act as your data processor. We will process such data only to provide the service and on your documented instructions, keep it confidential, engage only the subprocessors listed in our Privacy Policy, assist you as reasonably needed with data subject rights requests, and delete or return it in accordance with our retention terms.

10.4 Data Security: We implement appropriate technical and organizational measures to protect your data, but cannot guarantee absolute security.

11. Termination

11.1 Termination by You: You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period.

11.2 Termination by Us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in conduct that we reasonably believe is harmful to us or other users.

11.3 Effect of Termination: Upon termination, your right to use DocuPotion will cease immediately.

11.4 Signature Processes in Flight: Termination does not affect the validity of documents signed before termination. Signature requests that are still outstanding at termination may be cancelled.

12. Warranties and Disclaimers

12.1 Service "As Is": DocuPotion is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.2 No Guarantee: We do not warrant that our service will be error-free, secure, or uninterrupted, or that defects will be corrected.

12.3 Your Responsibility: You are solely responsible for the content you create, the documents you generate, and the agreements you conclude using our service.

13. Limitation of Liability

13.1 Exclusion: To the maximum extent permitted by law, Cranford Tech Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from your use of or inability to use DocuPotion, or from the unenforceability of any electronically signed document.

13.2 Cap: Our total liability to you for all claims arising from or related to these Terms or DocuPotion shall not exceed the amount you paid us in the 12 months preceding the claim.

13.3 UK Law: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under UK law.

14. Indemnification

You agree to indemnify and hold harmless Cranford Tech Limited, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of DocuPotion
• Your breach of these Terms
• Your violation of any rights of another party, including recipients and signers of documents you send
• Content you submit, documents you generate, or agreements you conclude

15. Governing Law and Disputes

15.1 Governing Law: These Terms are governed by the laws of England and Wales.

15.2 Jurisdiction: Any disputes arising from these Terms or your use of DocuPotion shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15.3 Informal Resolution: We encourage you to contact us first to resolve any disputes informally before pursuing legal action.

16. General Provisions

16.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cranford Tech Limited regarding DocuPotion.

16.2 Changes to Terms: We may modify these Terms at any time by posting updated Terms on our website. Material changes will be notified to you via email or through the service. Continued use after changes constitutes acceptance.

16.3 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.4 Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.5 Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

16.6 Force Majeure: We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control.
