By accessing or using DocuPotion, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our service.

2. Our Service

DocuPotion provides a cloud-based platform that enables users to:

  • Design and create reusable document templates using our drag-and-drop editor
  • Store and manage templates within their account
  • Generate PDF documents via our API by populating templates with user-provided data
  • Access and manage generated documents

3. Account Registration and Access

3.1 Account Creation: To use DocuPotion, you must create an account by providing accurate, complete, and current information.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Eligibility: You must be at least 18 years old and have the legal capacity to enter into these Terms. By using our service, you represent and warrant that you meet these requirements.

3.4 Business Use: If you are using DocuPotion on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Subscription and Payment

4.1 Subscription Plans: We offer various subscription plans with different features and usage limits. Details of current plans are available on our website.

4.2 Payment: Subscription fees are charged in advance on a monthly or annual basis, as selected by you. Payment is due immediately upon subscription or renewal.

4.3 Price Changes: We may change our pricing with 30 days' notice. Price changes will apply to subsequent billing periods.

4.4 Taxes: All fees are exclusive of applicable taxes, which you are responsible for paying.

4.5 No Refunds: Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.

5. API Usage and Limitations

5.1 API Access: Your subscription plan includes specified API usage limits (number of API calls, document generations, etc.).

5.2 Fair Use: You agree to use our API in accordance with fair use principles and not to abuse, overload, or attempt to disrupt our systems.

5.3 Rate Limiting: We may implement rate limiting to ensure service quality for all users. Exceeding your plan's limits may result in additional charges or temporary service restrictions.

5.4 API Keys: You are responsible for keeping your API keys secure and must not share them with unauthorized parties.

6. Acceptable Use

You agree not to:

  • Use DocuPotion for any unlawful purpose or in violation of any applicable laws
  • Generate or distribute content that is defamatory, obscene, abusive, or infringes upon others' rights
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of our service
  • Remove or alter any proprietary notices on our platform
  • Use automated systems to scrape or collect data from our service
  • Resell or redistribute our service without our written permission
  • Upload or distribute viruses, malware, or other malicious code
  • Violate any third-party intellectual property rights through your use of the service

7. Intellectual Property

7.1 Our IP: DocuPotion, including our software, logos, design, and content, is owned by Cranford Tech Limited and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use our service in accordance with these Terms.

7.2 Your Content: You retain all rights to the content you upload, including templates and data used to generate documents. By using our service, you grant us a license to host, store, and process your content solely to provide our services.

7.3 Generated Documents: You own all documents generated using our service and your data.

7.4 Feedback: If you provide us with feedback or suggestions, we may use them without any obligation to you.

8. Data Protection and Privacy

8.1 Data Processing: We process your personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

8.2 Your Data: You are responsible for ensuring you have the right to use and process any data you upload to our service, and that such use complies with applicable data protection laws.

8.3 Data Security: We implement appropriate technical and organizational measures to protect your data, but cannot guarantee absolute security.

9. Service Availability and Support

9.1 Availability: We strive to maintain 99.5% uptime but do not guarantee uninterrupted service. We may suspend service for maintenance, updates, or emergency repairs.

9.2 Support: Support is provided in accordance with your subscription plan. Support channels and response times are detailed on our website.

9.3 Updates: We may update, modify, or discontinue features of DocuPotion at any time. We will provide reasonable notice for material changes affecting your use of the service.

10. Termination

10.1 Termination by You: You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period.

10.2 Termination by Us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in conduct that we reasonably believe is harmful to us or other users.

10.3 Effect of Termination: Upon termination, your right to use DocuPotion will cease immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, we may delete your data.

11. Warranties and Disclaimers

11.1 Service "As Is": DocuPotion is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 No Guarantee: We do not warrant that our service will be error-free, secure, or uninterrupted, or that defects will be corrected.

11.3 Your Responsibility: You are solely responsible for the content you create and the documents you generate using our service.

12. Limitation of Liability

12.1 Exclusion: To the maximum extent permitted by law, Cranford Tech Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from your use of or inability to use DocuPotion.

12.2 Cap: Our total liability to you for all claims arising from or related to these Terms or DocuPotion shall not exceed the amount you paid us in the 12 months preceding the claim.

12.3 UK Law: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under UK law.

13. Indemnification

You agree to indemnify and hold harmless Cranford Tech Limited, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of DocuPotion
  • Your breach of these Terms
  • Your violation of any rights of another party
  • Content you submit or documents you generate

14. Governing Law and Disputes

14.1 Governing Law: These Terms are governed by the laws of England and Wales.

14.2 Jurisdiction: Any disputes arising from these Terms or your use of DocuPotion shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.3 Informal Resolution: We encourage you to contact us first to resolve any disputes informally before pursuing legal action.

15. General Provisions

15.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cranford Tech Limited regarding DocuPotion.

15.2 Changes to Terms: We may modify these Terms at any time by posting updated Terms on our website. Material changes will be notified to you via email or through the service. Continued use after changes constitutes acceptance.

15.3 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.4 Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.5 Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

15.6 Force Majeure: We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control.
